The Ministry of Economy is preparing amendments to the Law on Trade Companies. The Draft-law introduces new provisions which apply to a cross-border merger with companies from the European Union and whose goal is harmonization with the EU acquis in the part related to the scope of application of these provisions, the manner of publication of the mutual proposal with the terms and conditions of the cross-border merger and the participation of employees in the decision-making in the company.
According to the Ministry, a harmonization with the directives on cross-border merger of companies with limited liability is estimated in the National programme for harmonisation with the EU legislation, which refers to the trade companies right. The Ministry of Economy is adding that the amendments are based on the recommendations from the European Commission Report on the progress of Republic of Macedonia from 2018.
